민관협력(PPP)의 한 유형으로서 해외민자발전프로젝트는 대부분 개발도상국의 전력생산 및 공급을 위해 민간발전사업자(independent power producer)가 투자유치국과의 실시협약을 체결함으로써 전력생산 시설의 건설 및 운영에 투자하는 프로젝트를 말한다. IPP 사업에 소요되는 총 사업비는 대규모인데, 그 사업비의 대략 70-80%는 타인자본으로 조달되고 부채조달의 대부분을 프로젝트 파이낸스 기법을 활용하고 있다. 프로젝트 파이낸스가 수반되는 IPP 사업에서는 전력구매계약(power purchase agreement, 이하 “전력구매계약”)이 가장 핵심계약이며, 금융조달의 근간이 된다. 20년 이상 장기간의 전력구매계약은 전력구매자가 지급하는 전력요금에서 연료비를 포함한 전체 발전소 운영비용을 충당하고, 대부분 건설비용으로 충당되었던 대출원리금을 상환할 뿐 아니라 발전사업자들의 기대수익을 포함한 투자금 회수의 원천이 된다. 전력구매계약의 주요 계약조건이 결정됨에 따라 관련되는 EPC계약서, 연료공급계약서 그리고 발전소 운영관리계약서의 계약조건이 결정되고, 서로 간에 복잡한 상호작용이 이루어지기 때문에 관련 계약서간 맥락있게 체결되어야 한다. 본고는 해외 민자발전사업의 핵심계약인 전력구매계약의 주요 조건들이 무엇인지 자세히 살펴보면서, 그 조건들이 관련 계약들인 EPC계약, 석탄공급계약 및 O&M계약에 어떠한 영향을 주고받는지에 대해 상호접점이 되는 부분들을 실무적인 관점에서 보다 입체적으로 살펴보고 있다. 기존 관련 계약서의 연구문헌은 단일 계약에 한정해 평면적으로 고찰되었기에 이러한 상호 영향을 주고 받는 접점과 입체적인 분석은 그 의미가 크다. 또한 대주가 자신들의 이익보호를 위해 확보하는 개입권에 대해서도 그 내용 및 효과에 대해 다루고 있다.

Given that power projects are most essential where there is a power shortage in the market, these projects often represent a pioneering level of investment and financial complexity in these markets. The power purchase agreement, or PPA, is the central contract for any independent power generation project. This article explains the context for the PPA and sets out key considerations for drafting and negotiating the PPA, including but not limited to (i) the considerations involved in securing financing for a power project, (ii) the tariff structure, purchase obligations and other key financial provisions of a PPA, (iii) the risks associated with an independent power project and how such risks are typically allocated and mitigated under the PPA and other relevant contracts, (iv) other key provisions in the PPA, with a particular focus on provisions related to force majeure, and default and termination, and (v) the lender’s step-in right in case of any default and a nature of the right. This article further analyzes how the PPA impacts other related contracts, such as EPC contract, coal supply agreement, and operation & maintenance agreement, and focuses on interfaces between the PPA and the respective contract.
