재무제표의 제1차적 작성책임은 기업에 있다· 여기에 혼란이 발생한다면 외부감사인의 독립성에 심각한 문제를 야기한다· 본 논문에서는 기업의 재무제표 작성 절차에 있어 이사회의 재무제표 승인, 영업실적 예측치의 공시, 내부감사의 감사업무 수행, 외부감사 수행, 주주총회 개최 등의 대표적 사건이 적절히 시차를 가지고 진행되는지를 알아보았다· 정기주주총회 6주전에 이사회가 재무제표를 작성하고, 회사의 내부감사는 그로부터 4주 이내에 감사보고서를 작성한다는 상법상의 규정은 거의 제대로 지켜지지 않고 있었다· 또한 이사회의 재무제표 승인일이 외부감사 시작일보다 늦은 경우가 74·4%에 달하였으며, 이는 외부감사인의 외관상 독립성에 부정적인 영향을 줄 수밖에 없다· 이사회의 재무제표 승인이 외관상 없었다고 하더라도, 적시성이 중요한 영업실적 공시 역시 70·2%의 기업은 외부감사일보다 늦게 영업실적 공시가 이루어짐을 관찰하였다· 아직도 기업 내부의 회계인력으로 충분히 재무제표 결산작업을 수행하지 못하고 외부감사가 이루어져야만 회계정보가 외부 이해관계자에게 제공되는 현실은 향후 원칙중심의 국제회계기준 적용으로 인한 회계전문인력의 확충에 있어 시급히 해결해야 될 것이다· 회계투명성의 달성은 새로운 제도의 시행으로만 가능한 것은 아니며 기존 제도의 운영에 있어 최선의 관심과 적절한 감독으로 어느 정도 가능할 것이다· 현행의 외부감사보고서 전자공시와 사업보고서 전자공시의 상호 절충이 필요할 것이며 이사회의 재무제표 작성에 대한 실질적인 관리 감독이 필요하다고 제언한다·

The primary responsibility of preparing financial statements lies on the company· If there occurs confusion on this, auditor`s independence would be in trouble· In this research, it was analyzed whether the approval of financial statements by board of directors, fair disclosure of business results, internal auditor`s work, external audit, and stockholders` meeting proceed with adequate intervals· Board`s approval of financial statements and internal audit do rarely comply with Commercial law in Korea· 74% of the sample shows that the board approves financial statements and 70% makes a public disclosure of provisional business results after the external audit begins· This means there are still lack of professional manpower in a company when the annual report is prepared· Accounting transparency could be achieved by timely supervision on the management of regulation as well as by adding a new regulation· Current disclosure system of annual report and audit report is to be made up for each other to reinforce the fundamental responsibility of the company when it prepares the financial statements·
